These Terms of Service (“Terms”) govern your access to and use of Resolves and our websites, applications, and related services (the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms.
1. Eligibility and accounts
You must be able to form a binding contract in your jurisdiction and meet any minimum age requirements. You are responsible for your account credentials and for all activity under your account. Notify us promptly of unauthorized use.
2. The Services
Resolves provides software and AI-assisted tools to support your decision-making and reflection. The Services are informational and educational in nature. They are not legal, medical, financial, or other professional advice, and they are not a substitute for qualified professionals when decisions involve regulated or high-stakes matters.
3. Acceptable use
You agree not to misuse the Services, for example by attempting to breach security; scraping or overloading our systems; infringing others’ rights; uploading unlawful, harmful, or deceptive content; or using the output to engage in illegal discrimination or harm. We may suspend or terminate access for violations.
4. User content and license
You retain rights to content you submit. You grant us a non-exclusive, worldwide license to host, process, transmit, display, and create derivative works from your content as needed to operate, improve, and promote the Services (including training aggregate or de-identified models only where permitted and disclosed). You represent that you have the rights needed to grant this license.
5. AI outputs
Outputs may be inaccurate, incomplete, or reflect model limitations. You are responsible for how you interpret and act on outputs. Do not rely solely on the Services for decisions with serious personal, legal, or financial consequences without independent judgment or professional advice.
6. Subscriptions and fees
Some features may be paid. Fees, billing cycles, and taxes will be presented at purchase. Unless stated otherwise, subscriptions renew until canceled. Refunds follow the policy shown at checkout or as required by law.
7. Third-party services
The Services may integrate with third parties (including AI and authentication providers). Your use of those services may be subject to their terms. We are not responsible for third-party services.
8. Intellectual property
We own the Services, branding, and our proprietary materials, subject to your rights in your content. Except for the limited rights expressly granted, these Terms do not transfer ownership of intellectual property.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER RESOLVES NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.
11. Indemnity
You will defend and indemnify us against claims arising from your content, your misuse of the Services, or your violation of these Terms or applicable law, subject to procedures consistent with applicable law.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access for conduct that risks the Services or other users, or for repeated violations. Provisions that by their nature should survive will survive termination.
13. Governing law
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Courts located in Delaware will have exclusive venue, except where consumer or mandatory local laws require otherwise.
14. Changes
We may modify these Terms. We will post updates and revise the “Last updated” date. If changes are material, we will provide notice as appropriate. Continued use after the effective date constitutes acceptance of the revised Terms.
